These Terms of Service (“Terms”) govern your access to and use of WLTH WLKS, including our website, applications, Slack community, events, walks, introductions, communications, content, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, Participation Waiver and Release, and Community Guidelines, each of which may be updated from time to time.

If you do not agree to these Terms, you may not access or use the Services.

1. About WLTH WLKS

WLTH WLKS is a membership-based community and networking platform designed to facilitate professional and social connections through online and offline experiences, including introductions, discussions, walks, events, and community programming.

WLTH WLKS may facilitate or organize certain community activities; however, participation is voluntary and members remain solely responsible for their own conduct, decisions, safety, wellbeing, and interactions.

2. Eligibility

You must be at least 18 years old to use the Services.

By using the Services, you represent and warrant that:

• you are legally capable of entering into a binding agreement;

• all information you provide is accurate and complete; and

• your use of the Services complies with applicable laws and regulations.

3. Membership & Billing

Certain Services require a paid membership subscription.

By purchasing a membership, you authorize WLTH WLKS and its payment processors to charge your selected payment method on a recurring basis according to the membership plan selected at checkout.

Unless otherwise stated:

• memberships renew automatically;

• fees are refundable at the sole discretion of the Company;

• you may cancel renewal at any time before your next billing cycle; and

• cancellation stops future renewals but does not retroactively refund prior charges except at the sole discretion of the company.

WLTH WLKS reserves the right to modify pricing, membership structures, or features at any time with reasonable notice.

4. Community Participation

Members are expected to engage respectfully, professionally, and lawfully within all WLTH WLKS spaces and activities.

You agree not to:

• harass, threaten, discriminate against, or intimidate others;

• engage in fraudulent, deceptive, or unlawful conduct;

• spam, solicit, or excessively self-promote;

• misuse member information;

• share confidential or private information without consent;

• impersonate another person or entity; or

• interfere with the operation of the Services.

Additional expectations are outlined in the Community Guidelines.

5. Walks, Events & Community Activities

WLTH WLKS may facilitate, coordinate, promote, or host in-person or virtual community activities, including walks, meetups, workshops, retreats, and networking events.

Participation in any activity is entirely voluntary and at your own risk.

You acknowledge and agree that:

• physical activity and social interaction involve inherent risks;

• WLTH WLKS does not guarantee the conduct or suitability of participants;

• community hosts and facilitators are not acting as medical professionals, security personnel, licensed guides, or emergency responders unless explicitly stated otherwise; and

• you are solely responsible for evaluating your own physical condition, safety, transportation, personal belongings, and decisions.

Your participation is additionally governed by the WLTH WLKS Participation Waiver and Release.

6. Member Interactions

WLTH WLKS does not conduct background checks on members unless explicitly stated.

WLTH WLKS does not guarantee:

• compatibility between members;

• the accuracy of member representations;

• business outcomes;

• safety of interactions; or

• the conduct of any participant.

Any interactions, transactions, relationships, advice, or arrangements between members are solely between those individuals.

7. Content & Intellectual Property

All WLTH WLKS branding, logos, content, materials, software, designs, text, graphics, and related intellectual property are owned by or licensed to WLTH WLKS and protected under applicable laws.

You may not reproduce, distribute, modify, scrape, republish, or commercially exploit WLTH WLKS content without prior written consent.

By posting or sharing content within the Services, you grant WLTH WLKS a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the operation, promotion, and improvement of the Services.

You represent that you have the rights necessary to grant this license.

8. Privacy

Your use of the Services is subject to the WLTH WLKS Privacy Policy, which explains how we collect, use, store, and process personal information.

9. Third-Party Platforms & Services

WLTH WLKS may utilize third-party platforms and providers, including but not limited to Slack, Donut, Stripe, Airtable, Tally, video conferencing providers, email platforms, and event software.

WLTH WLKS is not responsible for:

• third-party outages or interruptions;

• third-party security practices;

• unauthorized access to third-party systems; or

• third-party content, policies, or services.

Your use of third-party platforms may also be governed by their own terms and policies.

10. Assumption of Risk

You acknowledge that participation in the Services and community activities involves inherent risks, including but not limited to physical injury, illness, emotional distress, theft, accidents, transportation incidents, and interactions with other participants or third parties.

You voluntarily assume all such risks.

Additional terms regarding risk assumption and release of liability are set forth in the Participation Waiver and Release.

11. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

WLTH WLKS makes no warranties or representations regarding:

• uninterrupted availability;

• member outcomes or experiences;

• compatibility between participants;

• business success;

• accuracy or reliability of content; or

• safety of community interactions.

To the fullest extent permitted by law, WLTH WLKS disclaims all warranties, express or implied.

12. Limitation of Liability

To the fullest extent permitted by applicable law, WLTH WLKS and its affiliates, officers, directors, employees, contractors, volunteers, community hosts, agents, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to:

• use of the Services;

• participation in community activities;

• member interactions;

• business decisions;

• personal injury;

• property damage;

• data loss; or

• unauthorized access to accounts or systems.

To the extent liability cannot be excluded, WLTH WLKS’s aggregate liability shall not exceed the amount paid by you to WLTH WLKS during the twelve (12) months preceding the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless WLTH WLKS and its affiliates, officers, directors, employees, contractors, volunteers, community hosts, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• your use of the Services;

• your participation in Activities;

• your conduct toward others;

• your violation of these Terms; or

• your violation of applicable law.

14. Suspension & Termination

WLTH WLKS reserves the right, at its sole discretion, to suspend, restrict, remove, or terminate access to the Services at any time for behavior deemed:

• unsafe;

• harmful;

• unlawful;

• disruptive;

• abusive;

• inconsistent with community standards; or

• damaging to WLTH WLKS or its members.

Refunds are at the sole discretion of the company.

15. Changes to the Services

WLTH WLKS may modify, suspend, or discontinue any portion of the Services at any time without liability.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia.

Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Australia.

17. Changes to These Terms

WLTH WLKS may update these Terms from time to time.

Continued use of the Services following updated Terms constitutes acceptance of those changes.
